Commercial and service terms for hosted access and enterprise deployment.

1. Scope

These terms apply to the use of the ChtSafe platform and related services provided by Innovius UG (haftungsbeschraenkt), including hosted access, managed private environments, dedicated deployments, and enterprise implementation work.

2. Service structure

• Starter: entry access with a small included balance and access to the hosted platform.
• Business: recurring hosted access with broader capabilities, fair-use treatment for core automations, and optional usage-balance top-ups.
• Usage balance: prepaid or billed usage applied to model-heavy, media-heavy, or exceptional workloads.
• Enterprise: custom deployment agreements for managed private, dedicated private, or fully air-gapped on-prem operation.

3. Access and acceptable use

You may use the service only for lawful business or personal purposes consistent with the selected package. You may not abuse the service for fraud, unauthorized surveillance, malware, denial-of-service behavior, unlawful content handling, or attempts to bypass plan or safety controls.

4. Billing and payments

• Hosted plans renew according to the published billing cadence unless otherwise agreed.
• Usage balance may be charged separately for model, media, automation, or special routing workloads.
• Enterprise projects may include implementation fees, deployment fees, support retainers, or infrastructure pass-through costs.
• Taxes and statutory charges are added where required.

5. Fair-use treatment

Business plans may include a fair-use envelope for common chat, workflow, and automation behavior. We reserve the right to request an upgrade, introduce usage-balance billing, or temporarily restrict abusive patterns when actual consumption materially exceeds the intended commercial profile of the selected plan.

6. Enterprise deployment and ownership projects

Enterprise customers may license managed private environments, dedicated environments, or on-prem installations. Project-specific statements of work may define implementation milestones, security responsibilities, acceptance criteria, support windows, and customer-specific retention settings.

If a customer commissions a private workflow-model training or fine-tuning project, ownership and delivery terms for resulting model assets are governed by the applicable order form or enterprise agreement.

7. Customer content and training boundaries

Customers retain rights in their own prompts, files, and workflow inputs to the extent permitted by law. Innovius does not use customer content to train general public models by default. Any private model improvement or workflow-specific training work must be explicitly agreed.

8. Third-party model routes and availability

ChtSafe can route requests to Innovius-operated models and third-party model providers. Model availability, pricing, latency, and response characteristics may change due to upstream provider changes, customer-selected routing, or enterprise deployment constraints. We may replace or disable routes where necessary for security, legal compliance, or operational reasons.

9. Liability

Innovius is liable without limitation for intent, gross negligence, and cases where liability cannot legally be limited. For ordinary negligence, liability is limited to foreseeable damage typical for the contract, except where mandatory law provides otherwise.

10. Term, suspension, and termination

• Hosted subscriptions continue for the agreed billing period and may be cancelled according to the plan terms.
• We may suspend access when required for security, payment default, abuse prevention, or legal compliance.
• Enterprise projects follow the term and notice provisions agreed in the applicable order form or master agreement.

11. Governing law

German law applies unless mandatory consumer protection law requires otherwise. The place of jurisdiction, where legally permissible, is Teltow, Germany.
